Terms of Use

1. Acceptance of Terms

By accessing and using MINI OCR [Japanese name: みんなのOCR] (hereinafter referred to as "the Service"), you agree to be bound by these Terms of Use (hereinafter referred to as "these Terms").

Minors: If you are under the age of majority in your jurisdiction, you must obtain the consent of a parent or legal guardian before using the Service. By using the Service, you represent and warrant that you have obtained such consent.

2. Privacy and Data Collection

For details on how we collect, process, store, and protect your personal information, please refer to our separate Privacy Policy.

3. Use of Service and Prohibited Activities

The Service is provided to perform optical character recognition (OCR) on documents and generate text data. You agree to use the Service only for lawful purposes in accordance with these Terms.

You shall not engage in the following activities when using the Service:

  • Acts that violate laws, court judgments, decisions or orders, or legally binding administrative measures.
  • Acts that may harm public order or morals (including posting or transmitting excessively violent expressions, explicit sexual expressions, expressions leading to discrimination based on race, nationality, creed, sex, social status, family origin, etc., expressions inducing or promoting suicide, self-harm, or drug abuse, or other anti-social content causing discomfort to others).
  • Acts that infringe upon the intellectual property rights (such as copyrights, trademarks, patents), honor rights, privacy rights, or other legal or contractual rights of Misclib LLC or third parties.
  • Acts of impersonating Misclib LLC or a third party, or intentionally disseminating false information.
  • Acts of unauthorized access or facilitating such acts.
  • Acts that interfere with the servers or network systems of the Service, acts of improperly manipulating the Service using bots, cheat tools, or other technical means, or acts of intentionally exploiting defects of the Service.
  • Acts of reverse engineering, decompiling, or disassembling the Service, or otherwise analyzing the source code of the Service.
  • Acts that place an excessive burden on the Service.
  • Acts of assisting or encouraging any of the acts mentioned above.
  • Other acts deemed inappropriate by Misclib LLC.

4. User Responsibilities and Data Handling

You warrant that the image files you upload to the Service meet the following conditions:

  • Do not violate applicable laws (including copyright law, personal information protection law, etc.)
  • Do not infringe upon the rights of third parties (including copyrights, portrait rights, privacy rights, etc.)
  • Do not contain confidential information or illegal content

Data Processing and Retention: We use the image files only to the extent necessary to provide the OCR processing and will promptly delete them after storing them for the period specified in our separate Privacy Policy following the completion of processing. Please refer to the Privacy Policy for the specific retention period.

Handling of Violating Content: If we determine that an image file uploaded by you violates laws or these Terms, we reserve the right to delete such file, suspend your use of the Service, or terminate your account without prior notice to you.

5. Intellectual Property

All intellectual property rights related to the Service (including but not limited to the website, software, text, images, logos, etc.) are owned by Misclib LLC or its licensors.

Intellectual property rights, including copyrights, related to the image files you upload and the text data generated through the use of the Service (hereinafter referred to as "User Content") are retained by you or the original rights holder who granted the rights to you. However, you grant Misclib LLC a non-exclusive, royalty-free license to use (including reproduction, adaptation, public transmission, etc.) the User Content to the extent necessary for providing, maintaining, improving, and promoting the Service, and developing new services. This license shall survive the termination of your use of the Service.

6. Indemnification

You agree to indemnify and hold harmless Misclib LLC, its officers, employees, agents, and affiliates from and against any and all claims, losses, damages, liabilities, costs, and expenses (including attorneys' fees) arising out of or related to your use of the Service (including cases where you violate these Terms).

7. Limitation of Liability

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of bugs, nor do we make any warranties regarding the accuracy, completeness, suitability for a particular purpose, security, or non-infringement of rights concerning the results of the OCR processing.

Even if you incur damages due to our default or tort, except in cases of willful misconduct or gross negligence on our part, our liability for damages shall be limited to the scope of direct and ordinary damages actually incurred by you. We shall not be liable for incidental, indirect, consequential, special, future damages, and lost profits.

8. Modification of Terms

We reserve the right to modify these Terms at any time. Your continued use of the Service after any modifications constitutes your acceptance of the modified Terms.

9. Termination and Suspension

We may temporarily suspend your use of the Service or terminate the agreement under these Terms with you without prior notice or demand if we determine that any of the following applies to you:

  • You have violated any provision of these Terms.
  • It is found that there is false information in your registration details.
  • You have suspended payments or become insolvent, or a petition has been filed for commencement of bankruptcy proceedings, civil rehabilitation proceedings, corporate reorganization proceedings, special liquidation, or similar proceedings.
  • You have not responded to inquiries or other requests for response from us for 30 days or more.
  • We otherwise deem your use of the Service or continuation of the agreement inappropriate.

If any of the events in the preceding paragraph occurs, you shall automatically lose the benefit of time for all obligations owed to us and must immediately pay all such obligations.

We shall not be liable for any damages incurred by you as a result of actions taken by us pursuant to this Article.

10. Service Interruption and Suspension

We may suspend or interrupt the provision of all or part of the Service without prior notice to you if any of the following applies:

  • Performing regular or emergency inspection or maintenance work on the computer systems related to the Service.
  • Computers, communication lines, etc., stop due to an accident.
  • The Service cannot be operated due to force majeure such as fire, power outage, or natural disaster.
  • We otherwise determine that suspension or interruption is necessary.

We shall not be liable for any damages incurred by you as a result of measures taken by us pursuant to this Article.

11. Modification and Termination of Service

We may modify the content of the Service or terminate its provision at our convenience. If we terminate the provision of the Service, we will notify you in advance.

12. Exclusion of Anti-Social Forces

You and we represent and warrant that you/we do not currently fall under the category of an organized crime group (bouryokudan), a member of an organized crime group, a person for whom five years have not passed since ceasing to be a member of an organized crime group, an associate member of an organized crime group, a company affiliated with an organized crime group, a corporate racketeer (soukaiya), a group engaging in criminal activities under the guise of social movements, etc., a special intelligence violent group, or any other equivalent person (hereinafter collectively referred to as "Anti-Social Forces"), and that none of the following items apply, and promise not to fall under such categories in the future:

  • Having a relationship where Anti-Social Forces are recognized as controlling management.
  • Having a relationship where Anti-Social Forces are recognized as being substantially involved in management.
  • Having a relationship recognized as using Anti-Social Forces unjustly, such as for the purpose of seeking illicit gain for oneself, one's company, or a third party, or for the purpose of causing damage to a third party.
  • Having a relationship recognized as providing funds or favors to Anti-Social Forces.
  • Having officers or persons substantially involved in management who have socially reprehensible relationships with Anti-Social Forces.

You and we promise not to perform any of the following acts, either by oneself or by using a third party:

  • Making violent demands.
  • Making unreasonable demands beyond legal responsibility.
  • Using threatening language or violence in connection with transactions.
  • Spreading rumors, using fraudulent means or force to damage the other party's credit or obstruct their business.
  • Other acts equivalent to the preceding items.

If it is found that you or we are Anti-Social Forces, fall under any of the items in Paragraph 1, perform any of the acts listed in the preceding paragraph, or make false declarations regarding the representations and warranties based on Paragraph 1, the other party may terminate this Agreement without any notice.

13. Prohibition of Assignment

You may not assign, transfer, pledge as collateral, or otherwise dispose of your status under these Terms or your rights or obligations hereunder to any third party without our prior written consent.

14. Severability

If any provision of these Terms or part thereof is determined to be invalid or unenforceable under the Consumer Contract Act or other laws or regulations, the remaining provisions of these Terms and the remainder of the provision determined to be partially invalid or unenforceable shall remain in full force and effect.

15. Governing Law and Jurisdiction

These Terms shall be governed by the laws of Japan.

Any and all disputes arising out of or related to these Terms shall be submitted to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

16. Force Majeure

We shall not be liable to you for any non-performance or delay in the performance of obligations under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, enactment or revision of laws and regulations, intervention or orders by government agencies, epidemics, power outages, interruption, delay, suspension, data loss, unauthorized access to data due to failures of communication lines, computers, system maintenance, etc., transportation accidents, labor disputes, equipment accidents, or other force majeure events.
